Terms of Service

1. Introduction and Acceptance

Welcome to InnDojo ("Company," "we," "our," "us"). InnDojo Inc. is a Delaware corporation providing hospitality revenue management services. These Terms of Service ("Terms") govern your access to and use of our website at www.inndojo.com, our revenue management platform, and all related products, tools, and services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new "Last Updated" date, and for significant changes, we may notify you via email or through the platform. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

2. Description of Services

InnDojo provides a unified revenue management platform designed for boutique hotels and hospitality properties with event revenue as a core component of their business. Our Services include but are not limited to:

  • Customer Relationship Management (CRM) tools
  • Sales pipeline and opportunity tracking
  • Marketing automation (email and SMS)
  • Reputation management
  • Booking and calendar management
  • Analytics and reporting
  • Integration with third-party platforms

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice when practicable.

3. Eligibility

By using our Services, you represent and warrant that:

  • You are at least 18 years of age;
  • You have the legal authority to enter into these Terms;
  • If using the Services on behalf of an organization, you have authority to bind that organization to these Terms;
  • You are not prohibited from using the Services under any applicable law.

4. Account Registration and Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information;
  • Keep your login credentials confidential and secure;
  • Notify us immediately at [email protected] of any unauthorized access or security breach;
  • Accept responsibility for all activities under your account.

We may suspend or terminate accounts that provide false information or that we reasonably believe have been compromised.

5. Acceptable Use

You agree to use the Services only for lawful business purposes in the hospitality industry. You shall not:

  • Violate any applicable laws, regulations, or third-party rights;
  • Use the Services to send spam, unsolicited communications, or content that violates the CAN-SPAM Act, TCPA, or similar regulations;
  • Attempt to gain unauthorized access to any systems or accounts;
  • Transmit viruses, malware, or other harmful code;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Reverse engineer, decompile, or disassemble any aspect of the Services;
  • Resell, sublicense, or redistribute the Services without our written consent;
  • Use the Services in a manner that could damage, disable, or impair our infrastructure;
  • Collect user data without proper consent or in violation of privacy laws.

Violation of these provisions may result in immediate suspension or termination of your account.

6. Subscriptions, Payments, and Billing

6.1 Subscription Plans

Certain features of the Services require a paid subscription. Details of available plans, pricing, and features are available on our website or provided during the sales process.

6.2 Payment Processing

Payments are processed securely through Stripe and/or other approved payment processors. By providing payment information, you authorize us to charge your payment method for all fees due.

6.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate at renewal.

6.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period; you retain access until then.

6.5 Refund Policy

Due to the nature of digital services, payments are generally non-refundable. However:

  • If you cancel within 14 days of your initial subscription and have not substantially used the Services, you may request a refund;
  • Refunds required by applicable law (including consumer protection laws in your jurisdiction) will be honored;
  • We may offer refunds at our discretion for service issues or other circumstances.

6.6 Taxes

You are responsible for all applicable taxes. We will collect and remit taxes where required by law. If you are exempt from taxation, provide us with valid exemption documentation.

7. Third-Party Services and Integrations

Our Services integrate with third-party platforms including but not limited to GoHighLevel, LeadConnector, Stripe, Google, and various property management systems.

We are not responsible for the availability, accuracy, privacy practices, or actions of third-party services. Your use of such services is subject to their respective terms and policies. We encourage you to review those terms before enabling integrations.

8. Intellectual Property Rights

8.1 Our Intellectual Property

All content, software, designs, graphics, logos, trademarks, and other materials comprising the Services are owned by or licensed to InnDojo and are protected by U.S. and international intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works of any portion of the Services without our prior written consent.

8.2 Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback without obligation to you.

9. User Content and Data

9.1 Your Content

You retain ownership of all data, content, and materials you upload, submit, or transmit through the Services ("User Content"). By using the Services, you grant InnDojo a limited, non-exclusive, worldwide license to use, store, process, and display your User Content solely to provide and improve the Services.

9.2 Your Responsibilities

You represent and warrant that your User Content:

  • Does not violate any third-party rights, including intellectual property, privacy, or publicity rights;
  • Complies with all applicable laws and regulations;
  • Does not contain illegal, defamatory, or harmful material.

9.3 Data Processing

If you use the Services to process personal data of your customers or guests, you acknowledge that you are the data controller and we are the data processor. Our Privacy Policy and any applicable Data Processing Agreement govern such processing.

10. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
  • Warranties that the Services will be uninterrupted, error-free, or secure;
  • Warranties regarding the accuracy or reliability of any information obtained through the Services.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INNDOJO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.

Our total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the greater of:

  • The amount you paid for the Services in the twelve (12) months preceding the claim; or
  • One hundred dollars ($100).

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless InnDojo, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services;
  • Your violation of these Terms;
  • Your violation of any third-party rights;
  • Your User Content;
  • Your violation of any applicable laws or regulations.

14. Termination

14.1 Termination by You

You may terminate your account at any time by following the cancellation procedures in Section 6.4.

14.2 Termination by Us

We may suspend or terminate your access immediately, without prior notice, if:

  • You breach these Terms;
  • We are required to do so by law;
  • We discontinue the Services;
  • We reasonably believe your account has been compromised or is being used fraudulently.

14.3 Effect of Termination

Upon termination:

  • Your right to use the Services ceases immediately;
  • We may delete your account and User Content after a reasonable retention period (typically 30 days);
  • You may request export of your data prior to termination;
  • Provisions that by their nature should survive termination (including Sections 8, 11, 12, 13, and 15) shall survive.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

15.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall be resolved as follows:

  1. Informal Resolution: Before initiating formal proceedings, you agree to contact us at [email protected] to attempt informal resolution for at least 30 days.
  2. Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration will be conducted in San Francisco, California, unless otherwise agreed.
  3. Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or other urgent matters. Small claims court actions are also permitted.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

15.4 EU/UK Users

If you are a consumer in the European Union or United Kingdom, you retain any mandatory consumer protection rights under your local law, and nothing in these Terms limits your right to bring claims in your local courts.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and InnDojo regarding the Services.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
